FREELANCE AGREEMENT by and between "Client" and SadaStyle, "Freelancer" For good consideration, Client and Freelancer agree to the following terms:
1. EFFECTIVE DATE:
Project shall commence on from time of deposit time being of the essence.
2. DUTIES:
Freelancer agrees to perform the duties outlined in detail in email titled Your SadaStyle Job. This agreement entitles the Client to 3 (three) rounds of graphic design and/or text changes. After these 3 rounds of changes an hourly rate of $65 per hour (sixty-five dollars per hour) will be assessed for design changes and $85 per hour (eight-five dollars per hour) for programming changes. Freelancer shall also perform such further duties as are incidental or implied from the foregoing, consistent with the background, training and qualifications of Freelancer or may be reasonably delegated as being in the best interests of the project.
The Client is commissioning the Freelancer to perform these services as a work for hire, as that term is defined by the U.S. Copyright Law. Therefore upon final payment, the Client will own the result of services solely created by the Freelancer including the copyright and all other related and ancillary property interests. Upon completion of the job, the Client will grant the Freelancer a license to use any designs developed for promotional and demonstration purposes.
3. COMPENSATION:
The Freelancer shall be paid the compensation referenced in email titled Your SadaStyle Job: The total is to be paid in two equal parts. 50% (fifty percent) immediately, and 50% (fifty percent) upon completion.
4. PAYMENT:
Payment shall be made exclusively via PayPal. If project requires work or maintenance beyond initial completion of project, those terms will be negotiated in a separate contract.
5. DEFAULT:
If the Freelancer receives no reply to emails and/or phone calls from the Client for a period of one week (7 days) after the start of work the job will automatically go into default. A fee of $450 (four-hundred and fifty dollars) will be charged to reopen the job and a new timeline will be created.
6. TERMINATION:
This agreement may be earlier terminated upon: a] Death of Freelancer or illness or incapacity that prevents Freelancer from substantially performing for 1 continuous month. b] Breach of agreement by Freelancer.
This constitutes the entire agreement between the parties. Any modification must be in writing.
